Terms and conditions

The terms under which Alpha Digital builds, integrates, hosts and maintains webshops. In plain language, so you know where you stand in advance.

Version 1.0, 5 November 2026

This English text is a translation for convenience. The Dutch version (Algemene voorwaarden) is legally binding. If the two differ, the Dutch version prevails.

Article 1. Who we are and what the words mean

  1. 1.1Alpha Digital: Alpha Digital B.V., founded in 2018, located at Stationsplein 26, 6512 AB Nijmegen, the Netherlands. Chamber of Commerce (KvK) 72313129, VAT number NL859069394B01. Contact through the form at alphadigital.nl/en/contact/.
  2. 1.2Client: the company or organisation that makes an agreement with Alpha Digital. These terms are written for business customers, not for consumers.
  3. 1.3Agreement: the arrangement between Alpha Digital and the client, usually an accepted quote or order confirmation, together with these terms.
  4. 1.4Work: everything Alpha Digital makes or delivers for the client, such as a webshop, storefront, Medusa backend, integration, design, code, documentation or advice.
  5. 1.5In writing: on paper or by email.

Article 2. When these terms apply

  1. 2.1These terms apply to every quote, assignment and agreement of Alpha Digital, including follow-up assignments.
  2. 2.2Purchasing or other terms of the client do not apply, unless Alpha Digital agrees to them in writing.
  3. 2.3If the agreement deviates from these terms, the agreement prevails. After that come any SLA and then these terms.
  4. 2.4If a provision turns out to be invalid, the others remain in force. The parties then agree on a replacement rule that stays as close as possible to the original intention.

Article 3. Quotes and the start of an assignment

  1. 3.1A quote is without obligation and valid for 30 days, unless it states otherwise.
  2. 3.2The quote is based on the information the client provides. If that information is incorrect or incomplete, the planning or the price may change.
  3. 3.3The agreement starts when the client accepts the quote in writing, or when Alpha Digital starts the work at the client's request.
  4. 3.4An obvious mistake or typo in a quote does not bind Alpha Digital.

Article 4. How the work is carried out

  1. 4.1Alpha Digital performs the work as well as can reasonably be expected, with expertise. This is an obligation of effort. A specific result is only promised if the agreement says so in so many words.
  2. 4.2Alpha Digital is a one-person agency. The owner carries out the work himself. Where needed, he can engage specialists or suppliers. The client is told in advance.
  3. 4.3A stated schedule or deadline is a target date, not a strict deadline. If a deadline is at risk, the parties consult. The client can only hold Alpha Digital in default after a written notice of default with a reasonable period to still perform.
  4. 4.4Advice and reports are meant to help the client choose. The client decides what to do with them.

Article 5. What the client provides

  1. 5.1The client provides the information, content, access (such as accounts, API keys and hosting access) and decisions needed, on time.
  2. 5.2The client guarantees that the material it provides, such as texts, photos, logos and data, does not infringe the rights of others.
  3. 5.3If something is provided late or not at all, Alpha Digital may pause the work and charge for the extra time it takes.

Article 6. Additional work and changes

  1. 6.1Anything not included in the quote is additional work. If the client wants something extra or different, it is told in advance what it costs and what it does to the planning.
  2. 6.2Additional work only starts after the client's approval; email is sufficient.

Article 7. Prices and payment

  1. 7.1The price is stated in the quote. All amounts exclude VAT.
  2. 7.2Unless the quote says otherwise, Alpha Digital invoices 50% at the start and 50% on delivery. For larger projects this can be done in phases. Ongoing services such as hosting, maintenance and support are invoiced monthly in advance.
  3. 7.3An invoice must be paid within 14 days of the invoice date.
  4. 7.4If the client does not pay on time, Alpha Digital first sends a reminder. If payment is still not made, the statutory commercial interest is due and Alpha Digital may charge collection costs according to the statutory scale.
  5. 7.5Alpha Digital does not work with a price list. Every project is custom work and the price is fixed in the quote. If the client wants more or something different, article 6 on additional work applies.
  6. 7.6Objections to an invoice must be made in writing within 14 days. The undisputed part must be paid as normal.

Article 8. Delivery and acceptance

  1. 8.1Alpha Digital delivers the work in a test environment or as a preview, so the client can check it.
  2. 8.2The client tests within 10 working days of delivery and reports errors in writing, with a clear description.
  3. 8.3An error is something that demonstrably does not work as agreed. A new wish or a matter of taste is not an error, but may be additional work.
  4. 8.4Alpha Digital fixes reported errors within a reasonable period. Minor errors that do not prevent use are no reason to reject the delivery.
  5. 8.5The work is deemed accepted when the client approves it, when the test period ends without an error report, or when the client uses it live.
  6. 8.6After acceptance, Alpha Digital fixes errors in its own code reported within 3 months free of charge. Errors caused by changes by others, by third-party updates or by incorrect use are not covered.

Article 9. Development of webshops, software and integrations

  1. 9.1Alpha Digital builds webshops and software on Medusa, Next.js and other open-source components, and connects them to third-party systems such as payment providers, ERP, PIM and warehouse software.
  2. 9.2Open-source components are subject to their own licences. Third-party services, such as a payment provider, Medusa Cloud, Vercel, Supabase or Algolia, are subject to their own terms and prices. The client enters into those in its own name wherever possible.
  3. 9.3Alpha Digital is not responsible for outages, changes or discontinuation of third-party services and APIs. If an integration has to be adapted as a result, that is additional work.
  4. 9.4In a migration, Alpha Digital carries over data, URLs and redirects as carefully as possible. Alpha Digital does not guarantee Google rankings, revenue or conversion.

Article 10. Intellectual property

  1. 10.1After full payment, the client receives the rights to the custom work Alpha Digital made specifically for it, including the source code, unless the agreement states otherwise.
  2. 10.2Reusable components, Alpha Digital's own tools, knowledge and methods, and open-source software remain the property of Alpha Digital or the original creator. The client receives a perpetual right to use them for its own project.
  3. 10.3As long as payment has not been made in full, the client only has a temporary right of use.
  4. 10.4Alpha Digital may mention the project as a reference, unless the client objects. Confidential information is never shared in doing so.

Article 11. Hosting and online services

  1. 11.1Hosting and database run at an external provider. For new projects, the default is Medusa Cloud in the Europe Central region (Frankfurt, Germany). Existing projects may run on other hosting, such as Vercel and Supabase. The accounts with those providers are in the client's name, as is the code in a GitHub repository of the client. The client pays for hosting directly to the provider and may also host the shop itself.
  2. 11.2On request, Alpha Digital sets up those accounts and manages them on the client's behalf, with access the client grants and can revoke at any time. Even then, the accounts, the data and the code remain the client's. When the collaboration ends, Alpha Digital hands over all access.
  3. 11.3Availability partly depends on those external providers. Nobody guarantees 100% uptime. Agreements on availability and response times are set out in an SLA if one has been agreed.
  4. 11.4Alpha Digital announces planned maintenance in advance, outside office hours where possible. In case of a security risk, action may be taken without notice.
  5. 11.5The client is responsible for the content of its website or webshop. If something is clearly unlawful or a well-founded complaint is received, Alpha Digital may make that content inaccessible and inform the client.
  6. 11.6The domain name is registered in the client's name. Alpha Digital does not hold on to any domain name.
  7. 11.7Alpha Digital provides backups if agreed. The client remains responsible for keeping its own copy of its most important data.

Article 12. Maintenance and support

  1. 12.1Maintenance and support are only provided if agreed. What is included, such as updates of Medusa and dependencies, security patches, monitoring and a number of support hours, is set out in the quote or SLA.
  2. 12.2Support is available on working days during office hours (Central European Time). Report an outage by email or phone. For an outage that takes the webshop down, Alpha Digital responds within 4 working hours; for a regular question within 2 working days. Other response times can be agreed in an SLA.
  3. 12.3Work outside the agreements, or fixing problems caused by the client or a third party, is additional work.

Article 13. Confidentiality

  1. 13.1Both parties keep the other's confidential information secret, such as business information, customer data, prices and source code. This confidentiality continues after the agreement ends.
  2. 13.2This does not apply to information that is already public, or if a law or court requires disclosure.

Article 14. Personal data and security

  1. 14.1If Alpha Digital processes personal data for the client, for example customer or order data in a webshop, the client is the controller and Alpha Digital the processor. The parties enter into a data processing agreement for this.
  2. 14.2Alpha Digital takes appropriate measures to secure data and reports a data breach to the client without undue delay.
  3. 14.3How Alpha Digital handles data collected through this website is described in the privacy policy.

Article 15. Liability

  1. 15.1Alpha Digital is only liable for direct damage resulting from an attributable failure. Direct damage includes, for example, reasonable costs to fix the error or to assess the damage.
  2. 15.2Liability never exceeds the agreed project price (excluding VAT) of the assignment the damage relates to. For an ongoing service, it is the fees over the last 12 months.
  3. 15.3Alpha Digital is not liable for indirect damage, such as lost revenue or profit, missed savings, loss of data, damage due to downtime, or damage due to a drop in Google rankings.
  4. 15.4These limitations do not apply in case of intent or deliberate recklessness on the part of Alpha Digital.
  5. 15.5Damage must be reported in writing as soon as possible, and no later than 12 months after you became aware of it. After that, the right to compensation lapses.

Article 16. Force majeure

  1. 16.1Neither party has to fulfil an obligation if force majeure prevents it. Examples include outages at hosting, cloud or internet providers, failure of third-party services, cyberattacks, illness of the owner, and government measures.
  2. 16.2If force majeure lasts longer than twelve weeks, either party may terminate the agreement in writing. Work already done is paid for proportionally.

Article 17. Suspension, termination and dissolution

  1. 17.1If the client does not pay on time or does not meet another agreement, Alpha Digital may pause the work until the problem is resolved, after a written warning.
  2. 17.2An ongoing service, such as hosting, maintenance or support, runs monthly, with a minimum term of 12 months. After that, the client can cancel monthly, with a notice period of 1 month.
  3. 17.3A party may dissolve the agreement if the other still fails to perform after a written notice of default with a reasonable period, or in case of bankruptcy or suspension of payments.
  4. 17.4Work done or delivered before dissolution is paid for and does not have to be undone.
  5. 17.5After the agreement ends, Alpha Digital helps at the normal rate with a clean handover to the client or a new party, with code, data and access.

Article 18. Changes to these terms

  1. 18.1Alpha Digital may change these terms. A change affecting current ongoing services is announced at least one month in advance. If the client does not agree with a material change, it may cancel the service as of the date the change takes effect.

Article 19. Applicable law and disputes

  1. 19.1These terms and every agreement with Alpha Digital are governed by Dutch law, also for clients outside the Netherlands. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
  2. 19.2In case of disagreement, the parties first try to resolve it together. If that fails, the competent court of the District Court of Gelderland (Rechtbank Gelderland) decides.

Article 20. Language

  1. 20.1These terms are drawn up in Dutch. This English text is a translation for convenience. In case of any difference in content or interpretation, the Dutch version (Algemene voorwaarden) prevails.
